  1. Introduction

Bagel Café's members club ("Customers Club") was established and is managed by Touti Entrepreneurship Ltd. ("Bagel Café").

  1. These articles are meant to regulate the benefits plan designated for customers of Bagel Café, who are interested in being members of the Customers Club, all subject to the provisions of these articles (the "Articles").
  2. Joining the Customers Club is subject to the Articles' terms below, as shall appear and be updated from time to time.
  3. The full responsibility for knowing the terms below and receiving the benefits according to these terms applies, at all times, to the members of the Customers Club whereby these Articles constitute a condition for joining the plan and each customer joining as a member of the Customers Club and receiving a membership card, is considered to have read and agreed to the provisions of these Articles, on their entire sections and/or parts thereof.
  4. No holder of a membership card or any other person shall have any demand and/or claim with respect to the terms of the Articles and the benefits plan or any modifications therein. Bagel Café's management reserves the right to modify or cease operation of the Customers Club at any time.
  5. Bagel Café's management reserves the right to modify and/or cancel these Articles or parts thereof.
  6. The version of the Articles shall be published and updated from time to time in the offices of Bagel Café's management at: 54 Emek Refaim, Jerusalem; or in the company's official website www.bagelcafe.co.il (the "Company's Website") or in Bagel Café's branches.
  7. Any expression made in masculine gender in these Articles, shall have the meaning of both women and men as one.

 

  1. Membership in the Customers Club
  2. A member of the Customers Club is entitled to duly hold a valid card of the Customers Club in accordance with these Articles ("Membership Card").
  3. Individuals who use their membership for personal use (not businesses, organizations, or agents or corporations), who have filled out their full details in the application form for joining the Customers Club and who paid the Customers Club a membership fee (as defined herein), are entitled to be part of the Customers Club. Bagel Café's management may disapprove the joining of an individual to the Customers Club at its discretion and without being required to give reasons for its refusal.
  4. Upon signing the application form for joining the Customers Club, the member of the Customers Club confirms that he is aware that Bagel Café itself will address him and/or through third factors with which it shall cooperate, in all means of media, including, but not only, via electronic mail, SMS and he approves it doing so.
  5. Whoever wishing to join the Customers Club during hospitality in the restaurant may do so by filling out the details of the registration form and in such event, shall be entitled to benefits granted to a member of the Customers Club as soon as he joins and after full payment of the membership fees. Payment of the membership fees in the Customers Club may be conducted via credit card or cash only, at the member's choice.
  6. Membership applies to the owner of the Membership Card and first-degree family members. In these Articles, the definition "first-degree family members" shall have the following meaning: partner, child (up to age 18).
  7. Each member of the Customers Club shall be responsible to update Bagel Café in writing, in any event of a change in email, telephone number, or any other relevant detail.
  8. Each Membership Card shall be allocated an internal serial number, which corresponds with that card only.
  9. The Membership Card is personal and may not be transferred in any way whatsoever, including by way of sale or transfer for no consideration to any third party. Without derogating from the generality of the aforementioned, a first-degree family member is entitled to realize the benefits, including children up to the age of 18.
  10. Bagel Café's management shall be entitled to demand that the presenter of the Membership Card identify himself with a certificate of identification, as a condition to use the Membership Card and also to accumulate points and realize points.
  11. A Membership Card shall be valid for one year (12 months) from the day of approval of joining the Customers Club and/or an application to renew the membership in the Customers Club.
  12. Upon the lapse of the year of membership, and as long as the Membership Card was not extended for an additional year, all rights granted to the member of the Customers Club shall expire and the Membership Card held by him shall not grant him with any right whatsoever. Extending validity of membership in the Customers Club shall be done by the member's addressing the manager of the restaurant or through a written application to Bagel Café's management at: 54 Emek Refaim, Jerusalem.
  13. In the event of loss, theft, or defect in the Membership Card, the member of the Customers Club must address the management of Bagel Café in order to receive an alternate Membership Card. Bagel Café is entitled to charge payment for issuing an alternate Membership Card, at a price to be determined by it from time to time.
  14. In addition, and without derogating from its rights as detailed above and subject to the aforementioned, Bagel Café's management shall, from time to time, initiate cooperations with commercial entities in versatile fields and under the framework of these cooperations or other agreements, those third parties shall directly address the member of the Customers Club. A member objecting such address of that third party, shall be entitled to announce the same to Bagel Café's management in writing via registered mail and/or by fax, and upon receiving his notice, no factor shall be directed to him by Bagel Café's management.
  15. The club's management is entitled to block the Membership Card in any event of misuse in the Membership Card, to its opinion.

 

  1. The cost of joining the Customers Club
  1. Joining the Customers Club involves payment of a membership fee (above and below: the "Membership Fees"), as determined from time to time.
  2. It is clarified that Bagel Café's management shall be entitled to change the Membership Fee at its sole discretion. In the event that the Membership Fees were changed during the period of membership of a member of the Customers Club – such change shall apply to the renewal period only.

 

  1. Rights granted to a partner of the club member
  1. The Membership Card is personal.
  2. Without derogating from the aforementioned, the rights granted to a member of the Customers Club under these Articles, during hospitality in the restaurant only, shall be granted to his partner, should the club member wish so. In the event that the member of the Customers Club requests to allow the said partner to make use in the Membership Card he holds, the member of the Customers Club will write the full details of the partner where designated in the application form, and Bagel Café's management will issue a Membership Card also for the said partner.
  3. The said partner shall be entitled to receive the benefits granted to the member of the club during hospitality in the restaurant subject to the membership of the member in the Customers Club being valid and/or has not been cancelled in accordance with the provisions of these Articles. It is clarified that the Membership Card shall not provide double benefits to the couple and hospitality benefits shall be given during shared hospitality in the restaurant, or alternatively to a member of the Customers Club or to the said partner.        
  4. It is clarified that Bagel Café's management is not obligated to provide any right and/or benefit to the said partner which details do not accurately appear in the application form. The aforementioned is conditioned upon presentation of an identification certificate.

 

A member of the Customers Club shall not be entitled to change the name of the partner in any event whatsoever during the year of membership in the Customers Club. The member shall be entitled to change the name of the partner only upon renewing the Membership Card.

  1. Cancellation of membership in the Customers Club
  1. Each member shall be entitled to leave the Customers Club and his registration as a member will be cancelled and deleted within thirty (30) days from the date of his notice sent via registered letter and/or fax of his said desire. In such event, his said notice shall be deemed a full waiver of all of his rights in the Customers Club including, but not only, his right to receive the benefits, as specified below in these Articles. For the avoidance of doubt, in such event, the member of the Customers Club shall not be entitled to a refund of the Membership Fees collected and/or any compensation and/or indemnification relating to his membership in the Customers Club.
  2. Without derogating from the provisions of Section 5.1 above, in the event that the member of the Customers Club cancelled his membership within 14 days from the date of joining the Customer Club, by written notice, he shall be entitled to a refund of the Membership Fees payment provided he did not use the Membership Card and he did not utilize all the benefits as specified in these Articles. Refund of Membership Fees shall be conducted within 30 days from receiving the written notice. The membership in the Customers Club is cancelled as of the moment of cancelation notice by the member, even if he has yet to be refunded the Membership Fees, and he may not utilize any of the benefits granted pursuant to the membership in the Customers Club.  

 

  1. The Benefits
  1. Using the Customers Club Membership Card shall not entitle the member of the Customers Club with any other benefits than those specified in these Articles, unless notified otherwise by the company.
  2. Holder of a valid Customers Club Membership Card, shall enjoy the following benefits:

  2. A club member is entitled to receive benefits granted to a club member only upon hospitality in the restaurant, and under the condition he is present therein. Discount for a member of the Customers Club shall be permitted for a meal which includes no more than ten diners in one meal and provided that the club member pays for the hospitality in full. No double benefits or discounts shall be provided.
  3. Discounts shall not be granted in unique dinners and in event, as defined by Bagel Café's management.
  4. It is hereby clarified that the benefits specified in Section 6.2 above, shall be from the product's price published by Bagel Café from time to time. In addition, it is clarified that insofar as Bagel Café advertises sales, there shall be no double discount and/or sales, and the benefits determined in the above sections shall be provided over the regular price list and not on the sale price, insofar as advertised.
  5. In advertisements for members of the Customer Club only, the discount and/or sale shall be in accordance with the advertisement only.
  6. Sales, discounts and special prices shall be as determined from time to time by Bagel Café. The number of discounts permitted for each purchase, shall be in accordance with the exclusive decision of Bagel Café and it is entitled to change the number for each purchase which is not under a certain discount or any other sale, at any time and with no prior notice.
  7. Benefits shall be granted to the member only upon presentation of a valid Membership Card and/or presentation of an identification certificate at the time of purchase. The member should announce his membership at the time of purchase and present the said card and/or identification certificate when making the purchase.
  8. A club member discount does not include products of the delicatessen.

 

  1. Change of Customers Club benefits or the cessation thereof
  1. Bagel Café reserves the rights to change or cease the benefits provided and/or any part of the benefits provided at any time, according to advertisements it conducts under its sole discretion. Bagel Café shall not bear any liability in the event it decides to do so. In addition, the company shall bear no liability vis-à-vis the members of the Customers Club or any third party if ceasing the benefits granted under the Customers Club, for a limited period, for any reason whatsoever. Notice on cease of service, permanently or for a limited time, shall be provided to the members of the Customers Club through any of the advertisement means, as stated in Section 8 of these Articles, under Bagel Café's sole discretion.
  2. Bagel Café's management shall be entitled to decide at any time, to cease the Customers Club operation upon prior notice of at least thirty (30) days, to be advertised in one of the advertisement means specified in Section 8 of these Articles.

 

  1. Customers Club's means of advertising
  1. Customers Club notices for all intents and purposes relating to the operation of the Customers Club including, but not only, with respect to a change and/or addition and/or derogation to be executed and/or intended to be executed by Bagel Café, in the Articles and/or discounts and/or Membership Fees and/or with all matters concerning the member's entitlement and/or the operation of the Customers Club and/or the cessation of its operation etc., shall be conducted by the Customers Club via electronic mail and/or Bagel Café's Website and/or any means of advertisement as Bagel Café deems fit under its sole discretion. Members shall hold no argument and/or demand and/or claim and/or complaint with respect to the way of transferring these said notices.
  2. It is hereby clarified that the Customers Club is a club operating also via the website and it is the Customers Club's intention to send information to the members to the email addressed provided by them in the application form upon registration. Members shall hold no argument and/or demand and/or claim and/or complaint with respect to the way of transferring the notices, whether via internet or in any other way.

 

  1. Information security and maintaining privacy 
  1. Bagel Café shall take all reasonable steps to secure information provided by members of the Customers Club, all in accordance with the provisions of the applicable law. However, Bagel Café cannot perfectly secure the information and media systems from unauthorized invasions and prohibited use of third parties. Therefore, Bagel Café shall not bear any liability, direct or indirect, in cases of discovery and use in information provided by the members of the Customers Club deriving, directly or indirectly, from unauthorized invasions of others or as a result of acts and/or omissions which are not under its control.
  2. Bagel Café shall be entitled to use the details of members of the Customers Club in order to notify the members of the Customers Club on different products and services which might interest them. It is hereby clarified that under no event shall the company transfer the details of members of the Customers Club or any other information which identifies them personally, to a third party without their prior consent.

 

  1. Jurisdiction       
  1. The laws of the State of Israel shall apply to the validity, interpretation and/or breach of these Articles. The exclusive jurisdiction with respect to the validity, interpretation and/or breach of these Articles shall be given to the competent courts of the city of Jerusalem.
  2. In any event by which a club member prosecutes Bagel Café and/or anyone on its behalf, including its owners and/or executives, the club member shall automatically be deemed to have left his membership in the Customers Club and his membership will be cancelled.

 

  1. Miscellaneous
  1. No engagements and/or undertakings previous to this Customers Club, insofar as made between the member of the Customers Club and Bagel Café's management by any of its representatives, shall be valid upon establishing this Customers Club, and they shall not serve for interpreting these Articles and not constitute as evidence under the framework of any proceeding.
  2. No delay of Bagel Café's performance of right entitled to it under the specified above or Bagel Café's abstention from insisting on its said right, shall be deemed as a waiver of its rights.
  3. Bagel Café is entitled to assign its rights under these Articles to any third party as it deems fit and with no obligation to publish the said assignment.
  4. Members of the Customers Club are not entitled to assign their rights under these Articles.
  5. The service is a personal service and may not be transferred to any third party.
  6. In the event it is determined by a competent tribunal that any of the above provisions are void or may be cancelled, for any reason whatsoever, the remaining provisions shall remain in effect.
